An off-line software license management system and method thereof are disclosed. The present invention comprises a symmetric key generation module, a symmetric encryption module, a public key infrastructure (PKI) key pair generation module, a PKI public key encryption module, a serial number generation module, a software/hardware information collection module, and a license authentication module. The function of the present invention is to provide a mechanism for managing a software license quantity and preventing piracy. If a client end machine installed with software is equipped with the ability of accessing an intranet, it could be managed by the present invention. When an actual existing quantity of the software exceeds a licensed quantity, the present invention would, without human intervention, automatically remove the unlegitimately installed software until the actual existing quantity conforms to the licensed quantity.
