PROBLEM TO BE SOLVED: To provide a surface protective film that has a high adhesive force (initial adhesive force) against a self-recovering prism sheet and the like, and can keep the high adhesive force even with the lapse of time; and a prism sheet with a surface protective film containing the surface protective film.SOLUTION: A surface protective film has a base material layer and an adhesive layer. The adhesive layer contains a styrene-based elastomer and a phenolic resin. The styrene-based elastomer is a copolymer having a structure represented by general formulae A, B and C or its hydrogenated product. A is an aromatic alkenyl polymer containing 80 wt.% or more of an aromatic alkenyl compound unit. B is a conjugated diene polymer that contains 50 wt.% or more of a conjugated diene compound unit, and contains 50 mol% or more of a conjugated diene compound-derived vinyl bond.
