PROBLEM TO BE SOLVED: To provide a resin composition which can be prepared into an adhesive composition as a material for forming an adhesive layer containing a polyurethane resin, which shows extremely high reactivity without using a tin compound as a catalyst and induces a rapid proceeding of a crosslinking reaction between a polyol and a polyfunctional isocyanate compound, and thereby can give an adhesive layer with high transparency, and to provide an adhesive composition comprising the resin composition, an adhesive layer having high transparency formed by using the adhesive composition, and further, an adhesive sheet or a surface protective film having the adhesive layer.SOLUTION: The resin composition comprises a polyol (A) having two more OH groups, a polyfunctional isocyanate compound (B) and a catalyst (C). The content percentage of the polyfunctional isocyanate compound (B) is 1 part by weight to 100 parts by weight with respect to 100 parts by weight of the polyol (A); and the catalyst (C) is an iron complex compound.
