PROBLEM TO BE SOLVED: To provide a neutralization device simple in constitution, suppressing a filling amount of a neutralizing agent to a necessary minimum degree and capable of easily executing the filling work of the neutralizing agent, and a latent heat recovery type hot-water supply system equipped with the neutralization device. SOLUTION: The neutralization device 50 has a neutralizing agent housing part 53 capable of housing the neutralizing agent between the introducing part 51 and the discharge part 52. The neutralizing agent housing part 53 is constituted so that its principal part is formed of a flexible material such as rubber and has a downward bent part 60, an upward bent part 61 and a connection part 62 all of which are formed of a flexible material such as rubber. Further, the neutralization device 50 can be brought to a water seal state in which it is impossible for a gas such as a combustion gas to pass by storing a liquid such as a drain or tap water in the downward bent part 60 up to a predetermined water level or above.
